Business Formation
There are many different types of entities in Pennsylvania, including limited liability companies, business corporations, and limited partnerships. In some instances, we will counsel you on the advantages of forming your entity in Delaware, Nevada, or elsewhere. We will consult with you to determine the best type of entity, prepare and file all the necessary paperwork to set up your new entity. We will work with your accountant to determine whether Subchapter S Elections should be filed with the Internal Revenue Service, and obtain your Employer Identification Number (EIN) from the Internal Revenue Service.
Buy/Sell Agreements
For entities with more than a single owner, we will counsel the ownership group on establishing the terms when an owner may sell his or her interest in the business, whether as a result of death, disability, dissension or other reasons.
Joint Ventures
At times it makes sense to go into a business venture with another company so that each company can provide its expertise to a single business venture, and operate under a Joint Venture Agreement. This Agreement must balance the contributions of each venturer to the joint venture, but also provide a clear description of what each venturer may do outside of the joint venture.
